The Site and Services rely on third-party providers including Google, Twilio, Airtable, DocuSign, and others to deliver functionality. Use of these providers is governed by their respective terms and privacy policies. Illion is not responsible for the acts, omissions, or content of any third-party provider.
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ILLION, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ILLION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ILLION'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY APPLICABLE LAW.
You agree to indemnify, defend, and hold harmless Illion and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your violation of any law or the rights of any third party; or (c) any false or misleading information you submit through the Site.
We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination — including Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution) — shall survive.
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction and venue of those courts.
Before filing any legal action, you agree to first contact us at admin@illionrealestate.com with a written description of the dispute and a proposed resolution. The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days before either party initiates a legal proceeding.
We may update these Terms from time to time. Updates will be posted on this page with a revised "Last Updated" date. Material changes will be communicated through the Site or by email where reasonably practicable. Your continued use of the Services after any update constitutes acceptance of the revised Terms.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Illion regarding your use of the Site and Services and supersede any prior agreements. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
